The terms and conditions outlined herein define the rights and obligations that must be adhered to by the Customer, Partner, and Prep Technology Joint Stock Company (“Prep” or “Company”) in relation to account registration, purchases, provision and usage of products and services, and after-sales service when the Customer or Partner transacts with Prep through the website https://prepedu.com (hereinafter referred to as the “Terms and Conditions”). The contents of the Terms and Conditions are publicly available on https://prepedu.com and are provided before the Customer or Partner proceeds with payment on the website https://prepedu.com . Please carefully read the Terms and Conditions below.

Article 1: Definitions

In this Terms and Conditions document, unless otherwise specifically defined, the following words and phrases shall be understood as follows:

"Prep" or "Company" refers to Prep Technology Joint Stock Company.
"Customer" or "Student" refers to any individual who accesses the website https://prepedu.com or the Prep app on iOS/Android to register an account and/or purchase and use the products and services provided by the Company.
"Partner" refers to any organization, business, individual, or legal representative that collaborates with and signs agreements or contracts with Prep. The Partner may be a provider of products or services, a recipient of products or services, or a collaborator with Prep in carrying out business activities in accordance with the law.
"Using the Service" refers to the act of the Customer or Partner purchasing, activating, or using courses or other products/services (if applicable) on the website https://prepedu.com or the Prep app on iOS/Android, including but not limited to making payments, owning courses, logging into accounts, and utilizing account functions such as logging in, accessing courses or lectures, recording or storing courses or lectures, and using content from the courses or lectures. For Partners, aside from using the service as a Customer, this includes activities such as managing collaborations and conducting transactions related to cooperative projects with Prep.
AI-Prep Usage Policy: A policy created and issued to ensure that the use of tools, software, and products, especially those involving AI technology in the service exploitation process by Customers and Partners, is safe and responsible. It also maximizes Customers' and Partners' control over how they utilize these tools. This policy covers the following key aspects: the principles applied during service usage, prohibited actions, three levels of violations, and warnings. The full policy is available here.
Customer and Partner Information Protection and Processing Policy: A policy developed and issued to comply with Decree 13/2023/ND-CP on the protection and processing of personal data for Customers and Partners, as well as other relevant legal regulations. Through this policy, Customers and Partners will be informed about how Prep handles and protects their personal data during the process of searching, accessing, purchasing, registering for, and using Prep’s products, goods, and services. Payment Policy: A policy developed and issued to provide information on the payment process when Customers or Partners purchase and pay for our products and services. This policy includes payment methods, payment procedures for each method, and Prep’s payment security policy. The full policy is available here.

Article 2: Basis for Compliance Requirements

Prep Technology Joint Stock Company owns the brand, trademark, images, logos, and all content displayed on this website;
https://prepedu.com / is a website built and operated by Prep’s team. It serves all Customers and Partners who wish to purchase and use the products and services provided by Prep, or to collaborate with Prep;
The domain name https://prepedu.com has been lawfully registered and used by the Company in accordance with legal regulations;
The products and services introduced and provided by Prep on the website https://prepedu.com include study programs, courses, bundled service packages, and all training rooms that use modern AI technology, all of which are intellectual property created directly by Prep’s product development team, teachers, and specialists;
Compliance with the terms and conditions of transactions ensures that the buying and selling of products and the provision of services on https://prepedu.com and the Prep app on iOS/Android are conducted openly and transparently, safeguarding Prep's responsibility towards consumer rights.
The Terms and Conditions of Transactions include the following key contents:

How the Terms and Conditions of Transactions Are Formed, Enforced, and Maintained for Compliance: Refer to Article 4 of the Terms and Conditions;

Brand and Copyright Terms: Refer to Article 7 of the Terms and Conditions;
Rights and Obligations of Prep: Refer to Article 8 of the Terms and Conditions;
Rights and Obligations of Customers and Partners: Refer to Article 9 of the Terms and Conditions;
General Terms: Refer to Article 10 of the Terms and Conditions.

Article 3: Effectiveness and Governing Law

By registering an account and using the products, services, materials, and content on Prep's website, the Student agrees to the operational terms, assumes legal responsibility for their actions, and commits to adhering to all related regulations.
These Terms and Conditions are governed and interpreted in accordance with the laws of Vietnam.
Any issues arising from transactions on https://prepedu.com between Prep and the Customer/Partner, which are not addressed in these Terms and Conditions, will be regulated by Vietnamese law.
Prep reserves the right to amend these Terms and Conditions from time to time by providing notice on the Prepedu.com website.

Article 4: Formation, Implementation, and Compliance with the Terms and Conditions of Transactions

The agreement to the Terms and Conditions is a prerequisite for the Customer or Partner to use Prep's services. In this document, when referring to the rights and obligations related to compliance with the Terms and Conditions of Transactions by the Customer or Partner, it also implies that the Customer or Partner agrees to adhere to our policies, including: the Customer and Partner Information Protection Policy, AI Usage Policy, Payment Policy, and any other policies issued by Prep from time to time, throughout the period the Customer uses our services.
To complete a transaction, we require the collection of certain personal information from the Customer or Partner, including but not limited to name, age, phone number, and email, before, during, and after the transaction is officially conducted. Therefore, to ensure that the transaction is effectively agreed upon and carried out, the Customer or Partner agrees that by filling out the information forms we request before, during, and after the transaction, they are deemed to have accepted these Terms and Conditions of Transactions and also agreed to our Privacy and User Information Protection Policy.
By ticking the box “I have read and agree to the Terms & Conditions of Transactions, Information Privacy Policy, and AI Usage Policy of Prep” on the “Build a Plan” interface, the Customer or Partner acknowledges that they have reviewed the Payment Policy, read, understood, and agreed to the Terms and Conditions, the Privacy and Information Protection Policy, and the AI-Prep Usage Policy of Prep.
By making a payment on the website https://prepedu.com, the Customer or Partner has accepted and agreed to comply with the Terms and Conditions, Payment Policy, Privacy and Information Protection Policy, and the AI-Prep Usage Policy of Prep. From this point on, the Terms and Conditions, Privacy and Information Protection Policy, and AI-Prep Usage Policy become effective between Prep and the Customer or Partner. Suspension or discontinuation of service usage by the Customer or Partner will not terminate the effectiveness of the Terms and Conditions, Privacy and Information Protection Policy, or AI-Prep Usage Policy of Prep.
Throughout the service usage, the enforcement of the Terms and Conditions, Privacy and Information Protection Policy, and AI-Prep Usage Policy remains in effect, and both Prep and the Customer or Partner are obligated to fulfill the rights and duties as outlined in Article 9 of the Terms and Conditions of Transactions and the specific provisions stated in the Policies.
In the event that we issue and apply additional policies to Customers and Partners after they have purchased, paid for, and used our products and services, we will notify the Customers and Partners through legal means and obtain their consent through lawful methods depending on the situation. We recommend that Customers and Partners regularly check the policies being applied at the bottom of the website https://prepedu.com to review the details of the current policies. If Customers or Partners object to or have any concerns about one or more terms or policies, please contact us using the method outlined in Article 10 of these Terms and Conditions of Transactions.
To ensure compliance with these Terms and Conditions of Transactions, Prep is authorized to monitor the service usage behaviors of Customers and Partners. If any violations are detected, Prep reserves the right to take actions to protect its rights and obligations, including but not limited to:

Revoke the account of the Customer or Partner;
Request compensation for damages;
Take measures to prevent further damages from occurring;
Request the competent state authority to compel the Customer or Partner to cease the violating behavior and to demand full compensation for the damages.
In the event that Prep and/or Prep's platform makes an error in judging a violation that results in the limitation or prevention of the Customer or Partner from exercising their rights, please notify us. Within one (1) working day, or depending on specific cases outlined in each policy, we will review and restore your rights.

Article 5: Service Fees and Service Packages

The fees for using the Programs/Courses/Documents will be publicly announced by Prep on the website https://prepedu.com /;
The fees for each Program/Course/Document include an account registered with the Customer or Partner's information, usage fees for courses that the Customer or Partner wishes to access, corresponding to the usage duration according to Prep's general policies, and customer service fees based on the course usage time;
In cases where service package fees are calculated weekly, monthly, quarterly, annually, or for multiple years, Prep will not refund fees if the Customer or Partner terminates the service before the due date;
Prep may, at its sole discretion, provide some services free of charge to Customers or Partners at specific times;
Prep will issue invoices in accordance with the law regarding the purchase of goods and services in the form of electronic invoices when requested by the Customer or Partner.

Article 6: Service Usage Terms

All online courses on Prepedu.com are provided within one (1) day from the successful confirmation of online payment, with no shipping or delivery charges. Courses available at https://prepedu.com are accessible without interruption, allowing learners to study anywhere and at any time;
Courses purchased on the website https://prepedu.com / are intended for single use by the individual who registered the account; they are non-exchangeable, non-returnable, and non-transferable;
To facilitate learning anytime and anywhere, Prep allows you to log in and use your account on up to three devices. To ensure the safety and security of your account, if Prep detects that the account is logged in on more than the allowed number of devices, the system will issue a warning and will automatically lock the account if continued violations are detected.

Article 7: Brand and Copyright Terms

All intellectual property rights (registered or unregistered), information content, and all designs, texts, graphics, software, images, videos, sounds, source codes, and fundamental software on the website https://prepedu.com, mobile applications, and official online tools of Prep, along with the brand name, are owned by the Company;
Customers and partners who collaborate and use Prep's services are obligated to respect Prep's intellectual property rights while using the services and must not engage in any acts that may harm or threaten to harm Prep's intellectual property rights, including but not limited to the following actions:

Using any content from this website for commercial purposes or on behalf of any third party without written permission from Prep;
Modifying, copying, recording to electronic memory, translating, simulating, distributing, or using any part of this data or content for commercial or public purposes without prior written consent from Prep;
Disclosing or intentionally allowing others to access the account provided by Prep; inadvertently allowing others to access the account without making efforts to prevent harm to Prep;
Sharing or selling the learning account to others;
Any other actions that may harm Prep's intellectual property rights.
Engaging in any of the above actions will be considered an infringement of Prep's intellectual property rights and a violation of these Terms and Conditions, regardless of whether the customer or partner intends to profit from such actions.

Article 8: Rights and Obligations of Prep

Ensure the provision of complete and truthful information about the products and services offered, including:

Providing detailed information about each specific product and service.
Delivering the correct products and services that the customer has selected.
Offering complete information related to the products and services, including pricing, transaction conditions, payment methods, after-sales support, and other related requirements.
Guiding customers and partners on how to use the products and services after purchase and throughout the usage process.
Having a customer service policy for customers and partners after they purchase and use the products and services.
Commit that the products on the website meet all conditions according to Prep's standards and relevant legal regulations and do not fall under prohibited transaction items. All courses comply with the standards set by the Hanoi Department of Education and Training, according to Training and Professional Development Certificate No. 153/GCN-SGDĐT issued on January 20, 2022, by the Hanoi Department of Education and Training.
Not transfer or assign any rights and obligations under these Terms and Conditions to any third party without the customer's or partner's consent.
Comply with the provisions of these Terms and Conditions.
Have the right to request customers and partners to provide complete information about their needs, full name, address, phone number, and other relevant information to facilitate the provision of products and services.
In the event that customers or partners violate these Terms and Conditions, Prep reserves the right to unilaterally suspend or terminate the provision of services to the customers or partners until these violations and the consequences arising from them are fully resolved and rectified.

Article 9: Rights and Obligations of Customers and Partners

Customers and partners must provide complete information about their needs, purposes, usage goals, and any other conditions (if applicable) along with necessary requirements to ensure that Prep's business department can accurately and correctly advise on the most suitable products and services.
Register to use products and services through the account created by customers or partners via Prep's website or through Prep's official online tools.
Ensure that all transactions carried out through the customer's or partner's account are performed by the customer or partner themselves, and acknowledge the legality and binding nature of all transactions conducted through this account, including but not limited to purchase transactions, service requests, and payments.
Do not rent, lend, or transfer their account to any party without Prep's approval.
Have the responsibility to absolutely secure the information of the account provided to them. Prep will not be liable for any issues arising and risks from the customer's or partner's disclosure of account information to any party. To the extent evaluated by Prep, if the risk level from disclosing the customer's or partner's account information affects the provision of Prep's services, Prep reserves the right to unilaterally suspend service provision until this risk and its consequences are completely resolved.
Collaborate and carry out all matters agreed upon by both parties in a spirit of cooperation and voluntariness.
Provide Prep with complete information such as full name, address, and phone number when the customer or partner wishes to receive publications, gifts in kind, or needs consultation based on regional classification.
Make full payments to Prep as stipulated in these Terms and Conditions.
Use Prep's products and services according to the rules stated below. Prep may manage how customers and partners use products and services to ensure compliance with these rules:
Customers and partners must use a valid account when accessing applications related to services and follow the application's instructions. Customers and partners should not share their account with others or intentionally log in beyond the number of devices supported by Prep.

Article 10: General Provisions

If customers or partners have any questions, or discussions, or need explanations, support, or consultations, they can contact Prep through the following channels: email, the official Prep Facebook page messenger, or by calling the hotline at 0931 42 8899.
If any content of these Terms and Conditions is deemed invalid or unenforceable in whole or in part by any competent authority, the validity of the other provisions in these Terms and Conditions will not be affected.
In the event of any changes to the content of these Terms and Conditions, we will publicly announce it on the website https://prepedu.com /. Customers and partners are requested to read the entire terms again to understand their rights and obligations.

Terms & Conditions of Transaction
